By using any services and resources provided by us, including this website, you confirm that you agree to these terms and conditions, and you understand that you will enter into a binding legal agreement with Outsourcery Limited ("Outsourcery", "we", "us", "our").

These Terms and Conditions apply exclusively to Outsourcery's FLEX subscription services. Any services provided under a DIRECT arrangement are expressly excluded from these Terms and Conditions and will be governed by separate terms agreed with the Client during the discovery, recruitment, and contracting process.

We reserve the right to amend these Terms and Conditions at any time. Notice will be provided in writing via email; unless stated otherwise, amendments take effect thirty (30) days after notice. These Terms shall be governed by the laws of England and Wales.

1. Definitions

Commencement Date means the date on which your subscription for our Services commences, being the date of your first payment. Contract means the contract between you and us for the provision of Services. Services means the services offered by us from time to time. Specialist means a graphic designer, copywriter, digital designer, developer, SEO, digital project manager and/or any person rendering services other than those included in our standard Services. Sign-Up Form means the online form where the number of hours, price and agreement to these Terms is made.

2. Subscriptions

To subscribe, you complete our Sign-Up Form or accept a Quote, making an offer to purchase our Services subject to these Terms. The offer is subject to our acceptance, which we may refuse for any reason. If we accept, we enter into a binding agreement with you.

3. Duration

Your subscription commences on the Commencement Date and runs for an initial 1-month period, automatically renewing for further 1-month periods on the Monthly Commencement Date. If you exhaust the allocated hours before the end of a monthly period, you may renew your subscription upon agreement.

4. Fees and payment

Subscription Fees are stipulated in the Sign-Up Form or Quote. Fees are deducted 7 days in advance of the Monthly Commencement Date. If payment is not made on time, the amount is treated as overdue, we may suspend our Services, and we may charge interest at 4% above the central bank's base rate. Payment can be made via Stripe, credit or debit card or Direct Debit. Refunds are at our sole discretion. Usage is calculated on a minute basis, rounded up to the nearest 15-minute increment. Unused hours do not roll over.

5. Subscription downgrades

You may downgrade upon one month's prior written notice, commencing on the next Monthly Commencement Date. In the first three months of your subscription, the one month's notice falls away and the downgrade may come into effect at the next commencement date.

6. Termination

After the Initial Period, either party may terminate for any reason on one month's prior written notice, commencing on the next Monthly Commencement Date. We may terminate or suspend Services immediately if you breach a material term, become insolvent, are liquidated, or use the Services for any illegal or immoral activity.

7. Our rights and service

We reserve the right to withdraw the Services at any time. You agree that we are not a recruitment agency or introducer. We will not complete tasks that involve the installation or use of specialist software on your systems unless agreed in writing.

8. Intellectual property

In providing the Services, we grant you a limited non-exclusive licence to access our software and systems. This Contract does not transfer any of our intellectual property rights to you.

9. Limitation of liability

If we breach these Terms, your remedies are limited to a claim for damages not exceeding the Subscription Fees paid in the preceding 3 months. We will not be liable for any indirect, incidental or consequential loss. We perform the Services with reasonable skill and care but do not guarantee uninterrupted or error-free Services.

10. Non-solicitation and buy-out

You may not, during or within 12 months of termination, contract with, employ or pay any employee, agent or freelancer introduced by us. Breach incurs a fee of £10,000 or 25% of the employee's annual cost (whichever is greater). After 12 months of subscription, you may pay a buy-out fee of £8,000 with two months' written notice to release you from this clause.

11. Service delivery

Your Assistant may take up to 27 days of holiday per calendar year (inclusive of public holidays), as well as family responsibility, maternity and sick leave. We handle all legal requirements and your Assistant will try to consult with you in advance and avoid peak times. Unused hours due to leave do not carry over.
